Goliath Resources Closes CA$9.8 Million Financing to Fund Gold Exploration in British Columbia

Goliath Resources Ltd. (GOT:TSX.V; GOTRF:OTCQX; B4IF:FSE) announced on October 30 that it closed a non-brokered private placement financing with institutional support, raising approximately CA$9.8 million in gross proceeds. The financing provides additional capital for exploration activities at the company's flagship Golddigger-Surebet Gold Project in British Columbia's Golden Triangle.

Under the offering, Goliath issued 6,057,000 common shares at CA$1.62 per share. Each share qualifies as a flow-through share under subsection 66(15) of Canada's Income Tax Act. The financing did not include warrants, and the company paid no finder's fees or commissions in connection with the transaction.

The financing brings Goliath's anticipated cash position to approximately CA$27.5 million heading into 2027, according to the company's October 30 announcement. The additional funding comes as the company prepares for its next exploration drilling program and awaits assay results from its completed 2026 campaign.

Roger Rosmus, founder and chief executive officer of Goliath Resources, addressed the financing and the company's exploration activities in the news release.

"We welcome the continued support from the institutional community for our grassroots high-grade Surebet Gold Discovery at our Golddigger Property located in the Golden Triangle," Rosmus stated.

Rosmus also discussed the company's financial position amid recent market conditions, stating, "The overall current market has been extremely volatile. These additional funds are an insurance policy that further enhances our strong balance sheet and puts us in a stronger position, with ~CA$27.5M in cash going into 2027 and our planned exploration drill program."

The gross proceeds are designated for exploration expenditures at the Golddigger-Surebet Gold Project that qualify as Canadian exploration expenses and flow-through mining expenditures under the applicable provisions of the Income Tax Act. These expenditures must be incurred on or before December 31, 2027.

The shares were issued under available prospectus exemptions pursuant to National Instrument 45-106 and are subject to a statutory four-month hold period ending March 1, 2027. The offering remains subject to final approval from the TSX Venture Exchange.

Gold Prices Face Pressure From Inflation and Interest Rate Expectations

Gold prices faced downward pressure in late October as persistent U.S. inflation and expectations of higher interest rates weighed on the precious metals market. According to an October 29 Reuters report by Noel John, gold declined more than 1% as stronger inflation data reinforced expectations that the Federal Reserve would raise interest rates in December.

David Meger, director of metals trading at High Ridge Futures, explained the market's reaction, stating, "A stubbornly high inflationary outlook that continues to run hotter than Fed targets is paving the way for thoughts that the Fed will raise rates at the December meeting." He identified expectations of tighter monetary policy as the primary factor weighing on gold prices.

"I will add the Goliath as another," Chen Lin said, describing its exploration opportunity as a "big potentially multi-million discovery."

The report noted that the Federal Reserve had held interest rates unchanged at its October meeting, while traders assigned approximately an 80% probability to a December rate increase. Expectations of higher interest rates reduced the relative appeal of gold because the metal did not generate interest income. Investors also monitored developments in energy markets and geopolitical tensions, which had contributed to inflation concerns.

Yahoo!Finance reported on October 30 that gold had slipped below US$4,000 per ounce during early trading, reaching US$3,986.20 as of 7:04 a.m. ET. In an article by Tim Manni, the publication described the market's performance as "Gold prices continue to struggle this week ... amid instability in the Middle East."

The report also noted that gold had declined 4.3% over the preceding month but remained 2.3% higher than one year earlier. Middle East tensions continued to influence commodity markets, particularly following an attack on a tanker in the Strait of Hormuz that raised concerns about energy supplies.

Despite the recent decline, gold continued to serve multiple roles in global markets. Trading Economics described the metal as "one of the most widely followed precious metals" and noted its established use as an investment asset, jewelry commodity, and industrial material. The publication identified jewelry consumption and investment demand as the principal sources of global gold demand.

Stifel Maintains Buy Rating as Third-Parties Examine Gold Discovery's Expansion

Stifel analyst Cole McGill examined Goliath Resources Limited's expanding gold discovery in a July 15 research note, following step-out drilling that extended the Bonanza shear structure approximately 750 meters to the southwest. McGill stated that the results "showcase continuity of the Bonanza shear structure/host lithology (>1.8km x >1.8km corridor)." He also noted that additional step-out drilling had "the ability to put upward pressure on total ounce count of property."

McGill based his valuation on Stifel's exploration target of 4.2 million ounces of gold, assigning Goliath a valuation of approximately US$45 per ounce.

According to TipRanks, McGill subsequently reiterated a Buy rating on September 11, with a CA$4.25 price target.

Newsletter author Chen Lin of What Is Chen Buying? What Is Chen Selling? discussed Goliath during an October 15 appearance on Turning Hard Times to Good Times, hosted by Jay Taylor. Lin identified the company during a broader discussion about junior gold explorers and the possibility that financially strong gold producers could pursue acquisitions during periods of market weakness.

"I will add the Goliath as another," Lin said, describing its exploration opportunity as a "big potentially multi-million discovery." He also commented on the consistency of the company's drilling results, stating, "They seem to be hitting every hole they're hitting." Taylor agreed with Lin's assessment, responding, "No, Goliath. Absolutely."

Lin connected his interest in junior explorers to the financial condition of larger gold producers, which he described as having substantial cash reserves and relatively little debt. "The balance sheet [is] very, very good. They have very little debt and a lot of cash," he said. He also discussed the possibility of acquisitions during market downturns, stating, "Even if there's a crash, I would say the gold mining company should do okay."

The discussion also addressed weakness in smaller mining stocks and the possibility of additional selling pressure toward year-end. "This year the tax selling is going to be a buffet," Lin said, referring to opportunities he associated with declining valuations and tax-loss selling.

Pending Assays and 2027 Gold Exploration Plans

Goliath Resources is awaiting assay results from 55 drill holes completed during its 2026 exploration campaign at the Golddigger Property in British Columbia's Golden Triangle. The company reported that results would be announced once received, compiled, and interpreted, with its October 8 presentation outlining an anticipated period of assay announcements extending into early 2027.

The completed 2026 program consisted of 48,443 meters of drilling across 97 holes, expanding the Surebet Discovery's mineralized footprint by 12%, from 1.8 to 2.01 square kilometers. The campaign extended the Bonanza Zone to approximately 1,650 meters and the Golden Gate Zone to 1,500 meters, with both remaining open for further expansion.

Drilling also identified the Big Bulk Zone between the Bonanza and Golden Gate zones, where mineralized intercepts reached up to 58 meters with grades of up to 3.60 grams per tonne gold equivalent. Across the broader Surebet Discovery, Goliath reported visible gold in 412 of 483 holes drilled through 2026, representing approximately 85% of the total.

For 2027, Goliath outlined a new infill and expansion drilling program targeting established mineralized zones and extensions beyond the existing drilled footprint. The company's presentation identified specific northeast and southern expansion areas, along with additional directions where mineralization remained open. The presentation did not specify the number of planned holes, total drilling meters, or a budget for the program.

The company has also developed a comprehensive geological model incorporating seven geological units and seven faults, supported by 8,139 lithological logging intervals and structural measurements from oriented drill core.
