Wingdam Back in Omineca's Hands

Omineca Mining and Metals Ltd. (OMM:TSX.V; OMMSF:OTCQB) has regained full control of its flagship Wingdam underground paleoplacer gold project in British Columbia, after the bankruptcy trustee for its former joint venture partner gave up that partner's interest in the project, according to an October 27 release.

MNP Ltd., the licensed insolvency trustee in the bankruptcy of D&L Mining Corp., disclaimed D&L's interest in Wingdam. Omineca has taken over management of the mine site to keep operations running, and it has engaged PSI Mining of Saskatoon to take temporary operating responsibility for the project.

The company said regaining full control lets it finalize an agreement with a development partner, which it has not named.

Clearing the Path

D&L was Omineca's joint venture partner and mining contractor at Wingdam. It filed a voluntary assignment in bankruptcy on October 9, Omineca said in an October 13 update. As operator of the joint venture, Omineca held a right of first refusal on any transfer of D&L's interest, and the company said at the time that multiple credible parties had expressed interest in acquiring it.

The bankruptcy does not affect Omineca's other projects or its exploration for the lode gold source at Wingdam, the company said. Restarting gold recovery at Wingdam will require regulatory approvals from the province.

On October 28, Omineca closed private placements totaling CA$1.3 million, subject to final acceptance by the TSX Venture Exchange. The offerings included 15.2 million common share units at CA$0.05 each and around 9 million flow-through units at CA$0.06 each, and certain insiders participated. The proceeds will go to hard rock exploration at the Wingdam lode gold project and to working capital, not to the placer operation.

Buried Gold in the Cariboo

Wingdam sits along the Barkerville Highway, 45 kilometers east of Quesnel. Omineca's mineral tenures there cover 61,392 hectares, plus more than 15 linear kilometers of placer claims in the Lightning Creek valley. Thick layers of overburden in the valley preserved much of a buried paleochannel containing placer gold-bearing gravels. Omineca is also exploring the potential for multiple hard rock sources of that placer gold.

The company's Fraser Canyon project, 12 kilometers northwest of Quesnel in the Cariboo Mining District, is slated to restart development of an underground paleochannel for placer gold recovery. Two historical mines north and south of the Fraser River produced a combined 1,482 ounces of raw placer gold.

Analyst Sees Upside Beyond Wingdam's Placer Gold

Research Capital Corp. analyst Bill Newman maintained his Speculative Buy rating and CA$0.42 target price on Omineca in an August 6 update, written before D&L's bankruptcy. With the stock at CA$0.05 at the time, that target implied a projected return of 740%. Newman's target equals 1.0 times his risked valuation of the Wingdam paleoplacer project alone. He assigned no value to Fraser Canyon or the Wingdam hard rock discovery, which he said provides potential upside as those projects are further de-risked.

At the time, D&L had prepared an underground crosscut to advance across the Wingdam paleochannel and had reportedly recovered substantial quantities of placer gold. But Newman noted that D&L was still waiting for approval from B.C.'s Ministry of Mining and Critical Minerals to continue across the channel, and that quantified gold recovery results had not yet been released. He called regulatory approval and quantified gold recoveries the key near-term catalysts. Once the company shows it can safely mine and recover gold across the channel, Omineca intends to submit a five-year mine plan covering an initial 1.4 kilometers of paleochannel, he wrote.

Newman also pointed to Fraser Canyon, where PSI Mining has applied to dewater the historical underground workings and plans to restart placer gold recovery later in 2026, subject to permitting. PSI will fund all development and operating costs in exchange for 75% of recovered placer metals, while Omineca keeps a 25% carried interest at no cost. In 1986, the Canyon Mine processed 9,932 cubic yards of pay gravel and recovered 421.6 ounces of refined gold.

On the hard rock side, Omineca's 2025 drilling intersected 4.84 grams per tonne (g/t) gold over 1.07 meters and 1.25 g/t gold over 2 meters, about 500 meters west of the underground placer workings. Management believes the results represent the discovery of a potential lode source for Wingdam's placer gold. Newman said the results confirm hard rock gold mineralization near Wingdam, but the intercepts are narrow, true thicknesses remain unknown, and follow-up drilling is needed to establish the system's orientation, continuity, and scale.

Every Ounce Counts

Gold remains near historically strong levels heading into the year's final stretch, giving explorers like Omineca a supportive backdrop. The metal traded at around US$4,061 an ounce on the morning of October 28, according to Yahoo!Finance, and is up about 1.8% over the past year, even after retreating from January's record. Later that day, the U.S. Federal Reserve held interest rates steady, according to CNBC.

Many forecasters still see better days ahead. Analysts surveyed by Reuters trimmed their 2026 gold forecasts but expect prices to recover in 2027, according to a report on Kitco. Bank of America has said it sees US$5,000 an ounce as achievable once the Fed's tightening cycle is over, Reuters reported.

Demand from official buyers has also stayed firm. Central banks and other institutions bought 288.9 tonnes of gold in the second quarter, 62% more than a year earlier, World Gold Council data showed, according to Upstox. For a company recovering placer gold, prices at these levels make every ounce count.
