White Gold Corp gains court approval for its W2 Critical Minerals spin-out with financing raised to CA$10 million. The move unlocks dedicated capital for six Yukon properties while PEA optimization lifts IRR to 40.7%.

White Gold Corp. (WGO:TSX.V; WHGOF:OTCQX; 29W:FRA) has received final court approval for the spin-out of six critical-mineral properties in Yukon into a new entity called W2 Critical Minerals Corp. The Ontario Superior Court of Justice issued its order under a plan of arrangement, according to an August 28 release. This step clears a major regulatory hurdle and sets the stage for a dedicated vehicle to advance those assets with separate management and funding.

The transaction still needs final sign-off from the TSX Venture Exchange. In parallel, W2 Critical Minerals increased its associated financing from CA$5 million to CA$10 million. The subscription receipts will be priced at CA$0.25 and held in escrow until the spin-out closes. Net proceeds are earmarked for exploration and development work on the critical mineral assets once the deal is complete.

Why the Spin-Out Matters for Shareholders Right Now

Shareholders of White Gold Corp. stand to receive a proportional distribution of W2 shares through a dividend, provided they hold their shares through the yet-to-be-announced record date. The move separates the company's gold-focused assets from its critical-mineral portfolio, allowing each business line to attract the specialized attention and capital it needs.

CEO David D'Onofrio noted that the assets have already seen more than a decade of exploration and are now ready for focused advancement.

Key Investor Takeaways

  • Court approval received for the W2 Critical Minerals spin-out; TSX Venture Exchange clearance remains the final regulatory step.
  • Financing upsized to CA$10 million at CA$0.25 per subscription receipt to fund exploration on the six Yukon properties.
  • Updated PEA shows after-tax IRR rising to 40.7% and payback shortening to 1.5 years at US$3,600 gold; NPV at CA$1.86 billion.
  • 16,500-meter drill program underway across the 300,000-hectare land package, with 11,500 meters already completed.
  • Clarus Securities maintains a Speculative Buy rating and a CA$6 target price, citing valuation at 0.2x P/NAV versus the peer average of 0.6x.
  • Shareholders must hold through the record date to receive the W2 dividend distribution.

Exploration Momentum and Project Scale

White Gold Corp. is executing its largest-ever diamond-drilling campaign across roughly 300,000 hectares that represent more than 40% of the emerging White Gold District. The program has completed 11,500 meters to date, targeting Golden Saddle, VG, and Ryan's Surprise.

Additional drilling will test the VG East extension and Golden Saddle 2.0 in the coming weeks. The company plans another 5,000 meters at the White Gold and QV properties before year-end. Regional work is also advancing at Pilot, Bridget, Chris Creek, Betty, and Vertigo.

Optimized PEA Economics

Following the maiden PEA released on August 10, White Gold refined key assumptions around revenue timing, capital costs, operating expenses, and tax pools. The result lifted the after-tax internal rate of return to 40.7% from 38% and reduced payback to 1.5 years from 1.7 years at consensus gold prices of US$3,600 per ounce.

After-tax NPV at a 5% discount rate is now approximately CA$1.86 billion. At US$4,500 per ounce gold, the model shows CA$2.91 billion NPV, 55.8% IRR, and 1.2-year payback. The company expects to file the supporting NI 43-101 technical report by September 24.

Perspective and Valuation Context

Clarus Securities analyst Varun Arora highlighted the project's district-scale land position, proximity to the Coffee and Casino developments, and infrastructure advantages, including the Northern Access Route and Thistle Creek camp. The note points to ongoing step-out drilling that could add strike length at Ryan's Surprise and depth extensions at Golden Saddle.

Arora maintained a Speculative Buy rating with a CA$6 target based on 0.60x NAV plus an in-situ valuation of CA$175 per ounce on roughly 3.9 million ounces.

At the time of the report, White Gold traded at approximately 0.2x P/NAV and CA$132 per ounce versus peer averages of 0.6x and CA$216 per ounce.

Broader Gold Market Timing

Gold prices pulled back sharply in early September amid shifting rate expectations and geopolitical tensions, reported Jaiveer Shekhawat for Investing.com on September 1. Spot gold fell about 2% to near US$4,360 while futures declined roughly 1.6%.

Despite the near-term pressure, analysts note that underlying drivers such as U.S. debt levels and fiscal sustainability concerns remain supportive over the medium term, according to a piece by Neils Christensen for Kitco News on August 31.

Common Questions from Investors

What regulatory steps remain before the spin-out closes? Final approval from the TSX Venture Exchange is still required, and completion of the CA$10 million financing is a closing condition.

How will existing shareholders receive W2 shares? Shareholders who hold White Gold shares through the record date will receive a proportional dividend distribution of W2 shares once all conditions are met.

What changed in the updated PEA? Revised timing, cost, and tax assumptions lifted IRR to 40.7% and shortened payback to 1.5 years at US$3,600 gold; the underlying resource and mine plan stayed the same.

How large is the current drill program? The fully financed 2026 campaign totals 16,500 meters of diamond drilling across multiple targets, with 11,500 meters already completed.

What valuation does the analyst note imply? Clarus Securities sees the stock trading at a discount to peers and maintains a CA$6 target based on 0.60x NAV plus in-situ value on the resource.

White Gold Corp. is entering a period of multiple catalysts that could clarify the value of both its gold assets and the newly separated critical-mineral portfolio for retail investors seeking exposure to Yukon exploration.
