White Gold Corp. (WGO:TSX.V; WHGOF:OTCQX; 29W:FRA) announced that the Ontario Superior Court of Justice has issued its final order approving the proposed spin-out of certain Yukon critical-mineral properties into W2 Critical Minerals Corp. through a plan of arrangement under the Business Corporations Act (Ontario), according to an August 28 release.
The transaction still requires final regulatory clearances, including approval from the TSX Venture Exchange. Alongside the transaction, W2 has increased the size of its previously disclosed financing to CA$10 million, the release said.
"We are pleased to announce the significant progress on the spin-out of White Gold's most prospective critical mineral assets," Chief Executive Officer David D'Onofrio said. "These assets have benefited from over a decade of ground-up exploration, and now warrant the dedicated team, strategy, and capital that W2 will bring to advance them further. We are also pleased with [the] progress of our exploration program to date, which includes our largest ever diamond drilling program on our flagship project designed to build upon the recently announced strong PEA results and demonstrate the potential to meaningfully further increase our gold resources and continue to make new discoveries, and eager[ly] await assays."
To qualify for their proportional allocation of the spin-out being distributed through the Dividend, shareholders must continue holding their WGO Shares through the spin-out's record date. The company said it will announce the record and payment dates through a news release once all closing conditions have been fulfilled, which it expects to occur shortly.
W2 has also raised the size of its previously announced non-brokered private placement of subscription receipts from CA$5 million to CA$10 million in connection with the spin-out. The subscription receipts will be issued at CA$0.25 each, with the proceeds placed in escrow with a trust company and released to W2 once the spin-out closes. Completing the financing remains a condition of the transaction, and W2 plans to direct the net proceeds toward exploration and further development of the Critical Mineral Assets, White Gold said in the release.
Exploration Advances Across White Gold District
White Gold Corp. continues to execute its fully financed 2026 exploration campaign across its approximately 300,000-hectare land package in Yukon, which represents more than 40% of the emerging White Gold District. The company has completed 11,500 meters of diamond drilling so far, with work focused on the Golden Saddle, VG, and Ryan's Surprise areas, all of which remain open in several directions and offer room for further expansion.
Drilling has now shifted to the VG East extension, a 500-by-200-meter gold-in-soil anomaly located about 1.3 kilometers east-northeast of the VG deposit. The target lies along the southern side of the same structure associated with mineralization at VG, with further information expected in a separate release. White Gold also expects to start drilling Golden Saddle 2.0 within the next few weeks. Located roughly 2.5 kilometers east-southeast of the Golden Saddle deposits, the high-priority near-resource target displays geological and geophysical characteristics comparable to Golden Saddle, including a favorable fault intersection for orogenic gold mineralization and a strong east-west gold-in-soil anomaly.
The company said it plans to complete another 5,000 meters of diamond drilling at targets across the White Gold and QV properties during 2026. It has also finished a LiDAR survey covering the Bridget target and the broader Bridget property, one of six properties included in the planned Spin-Out. Regional exploration has begun at several discovery-stage targets, including Pilot, Bridget, the Chris Creek trend, the Betty property, and Vertigo, while White Gold expects to report additional exploration results from its broader gold and critical-mineral portfolio in due course.
Updated Economics Strengthen White Gold Project
White Gold said it has also refined the preliminary economic assessment (PEA) for its White Gold Project following the positive maiden PEA announced on August 10. The optimization work increased the projected after-tax internal rate of return to 40.7% from 38% and shortened the estimated payback period to 1.5 years from 1.7 years, while the after-tax NPV at a 5% discount rate declined modestly to approximately CA$1.86 billion from CA$1.91 billion using analyst-consensus gold prices of US$3,600 per ounce.
At a gold price of US$4,500 per ounce, the revised model produces an estimated after-tax NPV of approximately CA$2.91 billion, alongside a 55.8% IRR and a 1.2-year payback period.
White Gold attributed the changes to revised revenue and expenditure timing, updated capital, operating, and sustaining-cost assumptions, adjustments to the treatment of certain infrastructure components, and a more detailed assessment of applicable tax pools. The company said the revisions did not result from changes to the underlying mineral resource, mine plan, or commodity-price assumptions.
White Gold said it expects to file a supporting NI 43-101 technical report on SEDAR+ by September 24 or earlier. The report will provide additional information regarding the qualifications, assumptions, exclusions, and risks associated with the updated economic metrics and mineral-resource estimate, and the company expects to continue refining its estimates as the report is finalized.
'An Early and Special Gift for Christmas'
According to Bob Moriarty of 321gold.com, White Gold is "handing their existing shareholders an early and special gift for Christmas."
"The company is spinning out their most important critical metals projects in the Yukon to shareholders," Moriarty told Streetwise Reports. "They await final approval from the TSX but have announced upgrading the required financing to CA$10 million. Meanwhile, White Gold is in the midst of a 16,500-meter fully funded drill program at their core gold projects in the White Gold District of the Yukon."
White Gold Project Offers Scale, Infrastructure Access, and Exploration Upside
A recent site visit to White Gold Corp.'s White Gold Project in Yukon highlighted the size of the company's land position, its location within the active White Gold District, the number of exploration targets across the property package, and the strengthened technical team, according to an updated note by Clarus Securities Inc. Analyst Varun Arora on August 18.
The project also benefits from its proximity to major developments such as the Coffee Project, which hosts 3.0 million ounces of Measured and Indicated gold resources and an additional 0.8 million ounces of Inferred resources, and the Casino Project. Construction is progressing on the Northern Access Route connecting Dawson with the Coffee Project, with Talamore estimating approximately CA$77 million in spending on supplies, materials, equipment, and services during construction. The Thistle Creek camp provides an airstrip and access to the Yukon River for barge delivery of heavy equipment, while the broader district remains the focus of a government infrastructure program of up to CA$468 million.
At the resource level, White Gold is continuing step-out drilling at Ryan's Surprise, where nine holes have tested extensions to the east and west that could add as much as 300 meters of strike length, Arora wrote. At Golden Saddle, five holes are testing the down-dip continuation of the high-grade core, potentially extending mineralization by up to 100 meters, while drilling will also examine the gap toward Golden Saddle West. Previous drilling has demonstrated that the system remains strongly mineralized at depth, including an intercept of 3.23 grams per tonne (g/t) gold over 56.1 meters from approximately 350 meters below surface, supporting the possibility of an underground mining component that could further enhance the economics outlined in the 2026 PEA. The company is also testing extensions of the VG deposit on both sides of the Telegraph fault and plans to examine the down-dip continuation at Arc.
The report characterizes White Gold as combining a high-grade resource, established project economics, extensive district-scale exploration potential, and possible strategic value in a Yukon mining sector that is attracting increasing attention. With a fully financed 2026 exploration program, the completed PEA, and the company's largest-ever drilling campaign underway, the project is entering an important period of potential catalysts. The report estimates that the resource could approach approximately 5 million ounces over the next 18 to 24 months and sees further regional exploration as a potential avenue for substantially expanding the project's long-term development profile.
At the time of the report, White Gold was trading at approximately 0.2x P/NAV and CA$132 per ounce, compared with peer averages of 0.6x and CA$216 per ounce. The report, therefore, argued that the market valuation did not fully reflect the project's modeled value or exploration potential and could provide exposure to exploration results, stronger gold prices, and potential consolidation in Yukon, Arora wrote.
He maintained a Speculative Buy rating with a CA$6-per-share target based on a 0.60x NAV valuation, partially funded, combined with an in-situ valuation of approximately CA$175 per ounce applied to roughly 3.9 Moz.
The Catalyst: Is Gold's Drop Temporary?
Gold prices retreated sharply on Tuesday as renewed tensions in the Middle East lifted crude prices and accelerated a worldwide selloff in government bonds, while traders increased expectations that the Federal Reserve could raise interest rates at its September meeting, reported Jaiveer Shekhawat for Investing.com on September 1.
At 10:26 ET (14:26 GMT), spot gold was down about 2% at approximately US$4,360 an ounce, while futures declined roughly 1.6% to around US$4,409. Silver dropped 2.6% to US$64.85 an ounce, platinum fell 1.9% to US$1,762.70, and the U.S. Dollar Index gained 0.2% to 99.55.
U.S. job openings rose to 7.27 million in July from a revised 7.18 million in June, according to the Labor Department's JOLTS report, although the figure remained below the 7.33 million economists had anticipated. The data pointed to continued resilience in employment conditions but failed to provide a significant upside surprise. Gold has now surrendered roughly US$320 from last week's peak near US$4,697 an ounce, with the latest decline occurring as crude prices and sovereign bond yields climbed substantially.
The selling pressure intensified after gold dropped more than 3% Friday, following Federal Reserve Chair Kevin Warsh's indication that he remains committed to returning inflation to the central bank's 2% objective. Investors have since increased their expectations for another rate increase, with CME FedWatch indicating roughly a 66% probability of a 25-basis-point hike at the September meeting, compared with about 40% before Warsh delivered his Jackson Hole speech.
Tony Sycamore, senior market analyst at IG, attributed gold's roughly US$300 retreat from last week's high to the combination of Warsh's hawkish Jackson Hole remarks and renewed tensions surrounding the Strait of Hormuz, according to the article. He said rising oil prices and bond yields have increased gold's vulnerability heading into the Fed's next policy meeting and estimated that markets are currently pricing in approximately 60 basis points of rate increases through June 2027.
Despite the latest decline, gold remains significantly higher for August, with the metal coming off a monthly gain of nearly 10% following an unexpected increase in U.S. Treasury purchases of longer-dated government bonds, Shekhawat wrote. The intervention lowered borrowing costs and weakened the dollar while renewing concerns over the size of U.S. government debt and the potential for currency depreciation. Those concerns have revived the debasement trade, which helped propel gold approximately 65% higher in 2025 as investors sought protection against expanding government deficits and weakening currencies.
However, Simon-Peter Massabni, head of business development at XS.com, believes the shift toward a more restrictive interest-rate outlook could represent a temporary correction rather than the end of the larger advance in gold and silver, according to a piece by Neils Christensen for Kitco News on August 31.
Speaking with Kitco News, Massabni said investors are reassessing U.S. monetary-policy expectations following Warsh's address at the Federal Reserve's annual symposium in Jackson Hole, Wyoming. Warsh reaffirmed his priority of restoring price stability and indicated that the Fed could consider another rate increase if inflation remains above its 2% goal.
"We must be confident that underlying inflation is moving to our objective, clearly and at sufficient speed. Otherwise, we have work to do. That's our job . . . our mandate . . . and our charge to keep," Warsh said in his speech.
Massabni said Warsh's comments led traders to assign nearly a 57% probability to a September rate increase. That change has created an immediate challenge for precious metals because higher real yields and a stronger U.S. dollar typically reduce their appeal. Still, he argued that markets should separate the current adjustment in rate expectations from the underlying factors that have supported the precious-metals rally.
"What we have seen so far is primarily a repricing of interest-rate expectations rather than a complete reversal of the fundamental forces that have supported gold throughout the broader rally," he said, according to Christensen.

Massabni acknowledged that elevated interest rates, rising Treasury yields, and a firmer dollar could weigh on gold in the near term, but he said mounting U.S. debt, questions about fiscal sustainability, geopolitical instability, and wider economic risks remain supportive over a longer horizon. He also highlighted a potential policy dilemma for the Federal Reserve, which must balance keeping rates restrictive enough to suppress inflation against the growing fiscal strain created by higher government borrowing costs.
"My core view is that Warsh's speech could temporarily stall gold's advance, but it does not necessarily signal the end of the medium-term bullish trend," Massabni said. His outlook calls for continued weakness in the immediate term as traders adjust to the possibility of a September rate hike, with the market potentially experiencing further profit-taking, sideways consolidation, and heightened volatility.
