Gold Developer Advancing Major BC Gold-Copper Project Releases Report, Finances

Seabridge Gold Inc. (SEA:TSX; SA:NYSE.MKT) announces the filing of its Report to Shareholders, Interim Financial Statements and Management's Discussion and Analysis for the three and six months ended June 30. Seabridge Gold Inc. (SEA:TSX; SA:NYSE.MKT) announced that it has filed its Report to Shareholders, Interim Financial Statements and Management's Discussion and Analysis for the three and six months ended June 30, according to a release on August 13. The documents are available on SEDAR+ and on the company's website.

Seabridge said its 2026 KSM field program remains extensive and is progressing in support of the feasibility study, which continues to advance according to schedule. The company said it has also secured access to a US$100 million credit facility to maintain momentum at KSM, while discussions with its preferred candidate for an earn-in joint venture remain underway.

During the period, Seabridge published its 2025 Sustainability Report, completed the spin-out of the Courageous Lake project to shareholders and received the Smithers Resource and Mining Excellence Award, the release noted. The company also noted that the British Columbia Supreme Court has deemed the province's Substantially Started determination for KSM reasonable but ordered further Indigenous consultation.

For the three months ended June 30, Seabridge reported net income of US$117.5 million, or US$1.08 per share, compared with US$12.3 million, or US$0.12 per share, in the year-earlier quarter. The stronger result primarily reflected gains associated with the distribution of the Courageous Lake project.

Seabridge said it invested US$32.5 million in mineral interests, property and equipment at its projects during the quarter, up from US$21.1 million a year earlier. Net working capital stood at US$53.6 million at June 30, compared with US$109.8 million at the end of 2025.

Financing Facility Available to Boost Liquidity

In July, the Seabridge announced it had entered into an unsecured, short-term financing agreement with a strategic investor that gives the company access to up to US$100 million.

"We are pleased to secure financing to support the significant investments we are making in our summer season work programs at our 100% owned KSM Project," Seabridge Chair and Chief Executive Officer Rudi Fronk said. "Our 2026 work programs at KSM include building of roads to provide improved access to future infrastructure areas and the collection of geotechnical, metallurgical, and environmental data from drilling, test pitting, and sampling required to support KSM's feasibility level design and engineering activities."

The company said it can access the facility at its discretion through draws of no less than US$10 million. The financing bears interest at 7%, compounded monthly, with the accrued interest capitalized until the loan matures on Dec. 31, 2026.

Seabridge can repay the borrowing in cash at any point or, subject to certain conditions and Toronto Stock Exchange approval, satisfy the balance at maturity with common shares.

The agreement includes customary provisions covering conditions, representations, warranties and covenants. Seabridge said it expects to draw on the facility as necessary to bolster its liquidity, although it had not accessed any of the available financing as of the announcement.

Structure Avoids Equity Dilution, According to Analyst

The financing gives Seabridge greater flexibility as it advances feasibility-level work at KSM and pursues a joint venture arrangement intended to improve the project's value, Cantor Fitzgerald analyst Mike Kozak said in a July 20 research note.

Kozak viewed the financing as a modestly positive development because its structure enables Seabridge to fund important KSM design and engineering activities without issuing equity. He also continued to expect the company to complete a joint venture transaction for the project during 2026.

The analyst said the facility's short maturity and strategic lender could indicate that Seabridge is approaching a potential joint venture announcement, possibly before year-end. He noted that the company can draw the financing in minimum US$10 million increments and can elect to settle the obligation in either cash or common shares.

According to Kozak, Seabridge intends to direct the proceeds toward feasibility-level activities at KSM, including road construction to improve access to planned infrastructure areas and the collection of geotechnical, metallurgical and environmental data through drilling, test pits and bulk sampling.

Kozak reiterated a Buy rating on Seabridge and kept his CA$66-per-share target, which represented a 115% potential return when he prepared the report. His valuation continues to use a 0.8x NAVPS7.5% target multiple and assumes a 50/50 joint venture at KSM under standard industry terms.

"The company's flagship 100%-owned KSM project is among the world's largest development-stage gold-copper projects," Kozak noted. "It is permitted to commence construction and is scoped to produce +1.0 MMoz Au (million ounces gold)/year (plus by-products) over a multi-decade mine life."

Work at KSM Continues Without Interruption

On June 9, 2026, RBC Capital Markets analyst Harrison Reynolds reaffirmed an Outperform rating and US$71 price target on Seabridge, representing approximately 155% upside to the June 8 closing price of US$27.83, after the British Columbia Supreme Court decision upholding the Environmental Assessment Office's 2024 "Substantially Started" determination for the KSM project while requiring further consultation with the Tsetsaut Skii km Lax Ha (TSKLH).

Seabridge continues work at KSM without interruption and has invested approximately US$208 million in permanent works since its January 2024 application, bringing cumulative spending to US$1.2 billion, which Reynolds believes reinforces the basis for maintaining the designation during reconsideration. Management continues to advance the 2026 site program, including feasibility study preparations aimed at completion in the second half of 2027, road construction and completion of BC Hydro's Treaty Creek Terminal. Support from the Nisga'a and Tahltan Nations and the Gitxsan Hereditary Chiefs Office remains in place, with the TSKLH issue characterized as a procedural matter involving one Indigenous group rather than broader First Nations opposition.

Maintaining the "Substantially Started" status also preserves KSM's provincial and federal environmental assessment certificates for the project's life, eliminating the July 2026 expiry that otherwise could have prevented further development.

Reynolds based the US$71 valuation on an average 0.40x multiple of RBC's NAV8% estimate, applying a discount to comparable developers because of KSM's development stage, potential partnership requirements, longer-term value from resources and projects not included in the model, and construction complexity and costs. RBC's Speculative Risk designation reflects the project's early development stage and future construction exposure, while other risks include the need to secure a partner to help fund the feasibility study and eventually operate the mine, exposure to gold and copper prices, and substantial construction capital requirements estimated at US$6.4 billion under the 2022 PFS or US$7.8 billion under RBC's smaller initial project scenario.

Reynolds also cited KSM's remote location and challenging climate, additional permitting requirements before production, financing dependence on partnership terms and market conditions, and historical opposition from local organizations and environmental groups over potential effects on waterways, rivers and salmon habitat.

According to TipRanks, on August 3 Soundarya Iyer of B. Riley Securities rated the stock with a Buy and a target of CA$55.81.

The Catalyst: Gold On the Rise Once Again

Spot gold and silver advanced in early U.S. trading Friday as disappointing July retail sales data increased expectations that the Federal Reserve could leave interest rates unchanged in September, Kitco News reported on August 14. Gold traded near US$4,376.40 an ounce, rising 0.60%, while silver climbed 0.66% to US$64.740. July retail sales dropped 0.6% compared with forecasts for a 0.1% gain, and sales excluding automobiles decreased 0.3%, adding to other recent signs of softer economic conditions, including weaker consumer inflation and an unchanged headline producer-price reading.

Markets subsequently placed the likelihood of a 25-basis-point September rate hike at about 32% to 33%, down from almost 50% the previous week, while the 10-year U.S. Treasury yield held near 4.6% and the U.S. dollar index stayed below 100.00. Softer economic data supported bullion by easing pressure from interest rates, although stronger oil prices and anticipation of the University of Michigan sentiment report restrained gains. Meanwhile, tensions around the Strait of Hormuz continued to affect energy prices, inflation expectations and safe-haven demand after two UAE tankers were attacked while trying to pass through the waterway, as Washington signaled that it could introduce further economic measures against Iran and continue its blockade without a set end date.

In 2026, gold has proven difficult to trade, retreating as much as 18% from its early-year peak above US$5,300 an ounce, according to Goldprice.org, noted Kevin Williams writing for CNBC on August 12. The precious metal nevertheless posted its strongest weekly performance since January last week, while gold-mining shares recorded their best five-day stretch since 2008. With gold's recent swings leaving its year-to-date performance roughly flat, some investors believe the upward trend could continue, although risks remain. Despite the recent volatility, gold has still gained more than US$1,000 over the past year.

"Gold is the new gold," said Pippa Malmgren, a former special assistant to President George W. Bush and member of the National Economic Council.

Malmgren said the factors driving investors toward gold remain intact, with concerns that U.S. fiscal spending is excessive and that economic growth outside the U.S. could remain weak, Williams reported. "This implies inflation," Malmgren said. She also pointed to the Trump administration's costly foreign military engagements and support for cryptocurrencies as additional sources of uncertainty for some investors.

"This makes nervous investors turn to conservative methods for preserving value, such as buying gold," Malmgren said.

Central banks globally are also increasing their gold reserves, which she said reflects diminishing confidence in fiat currencies, with China continuing to play a major role in official-sector purchases, he wrote.
