Mining Giant Makes CA$20.9M Bet on Emerging Copper-Gold Discovery

Kingfisher Metals Corp. (KFR:TSX.V; KGFMF:OTCQB; 970:FSE) secured a CA$20.9 million strategic investment from Barrick Mining Corp. (ABX:TSX; B:NYSE) that is expected to fund exploration at its HWY 37 Project while making Barrick a 9.9% shareholder.

Kingfisher Metals Corp. (KFR:TSX.V: KGFMF:OTCQB; 970:FSE) announced that it has entered into an agreement with Barrick Mining Corp. (ABX:TSX; B:NYSE) under which Barrick will purchase 15,470,934 units of Kingfisher in a non-brokered private placement priced at CA$1.35 per unit for gross proceeds of CA$20,885,761. Each unit will consist of one common share and one-half of one common share purchase warrant. Each whole warrant will be exercisable for one common share at CA$1.70 for a period of two years.

According to the company, the placement will result in Barrick owning approximately 9.9% of Kingfisher's issued and outstanding common shares on a non-diluted post-transaction basis and approximately 14.1% on a partially diluted basis, assuming the exercise of all warrants.

Kingfisher said it has agreed to use at least 80% of the proceeds from the placement for exploration and development of its HWY 37 Project in British Columbia, with the balance allocated to general working capital and other purposes. Closing is expected on or before July 27, 2026, subject to customary closing conditions, including approval of the TSX Venture Exchange.

"We are very pleased to welcome Barrick as a strategic shareholder of Kingfisher, following their extensive due diligence," President, CEO, and Director Dustin Perry said. He added that, following the closing of the transaction, the company expects to have approximately CA$47 million in cash to fund ongoing exploration programs at the Hank Porphyry discovery and across its Golden Triangle land position.

Kingfisher also disclosed that it and Barrick will enter into an investor rights agreement. While Barrick maintains at least a 5% ownership interest, the agreement will provide Barrick with participation rights in future equity issuances to maintain its pro rata ownership, certain top-up rights, access to technical information related to the HWY 37 Project, project-level restrictions on certain transactions involving the project for a period of 24 months, and technical committee appointment rights, along with other customary investor rights. Barrick also agreed to voting, standstill, and transfer restrictions for specified periods following the closing of the placement.

Copper Tightness and Gold Demand Shape Mining Outlook

A July 21 report from Mining.com stated that copper prices had climbed to their highest level in more than a month as signs of tightening physical supply in China increased and traders renewed expectations that Washington could impose a tariff on refined copper imports. The publication reported that Comex copper for September delivery had risen 3.3% to US$6.55 per pound, less than 2% below the record reached in early June, while London Metal Exchange three-month copper had advanced to US$13,851 per tonne. It also noted that the premium for spot cathode over Shanghai futures had reached its highest level since May of the previous year, Yangshan import premiums had climbed to their highest level since May 2025, and deliverable copper inventories monitored by the Shanghai Futures Exchange had fallen 82% since early May. ING commodities strategist Ewa Manthey said the metal had been "pulled higher by a tightening Chinese market," adding that "the rally will need continued evidence of physical tightness to extend much further."

According to a July 22 article published by GuruFocus, hedge fund manager John Paulson said he believed "gold is entering a long-term bull market." The publication reported that he attributed that view to increasing demand for gold as a hedge against declining confidence in fiat currencies and said the metal would "continue to gain traction as an alternative asset." GuruFocus also wrote that central banks had been increasing gold reserves while interest from the private sector had been rising as investors sought safe-haven assets during periods of economic uncertainty.

A recent industry overview from Farmonaut stated that gold and copper mining underpinned infrastructure, energy transitions, soil health, and rural communities. The report said mining companies had been increasing investments in water management, tailings integrity, rehabilitation programs, and community partnerships as environmental and social responsibility became a greater focus. It added that these initiatives had helped protect natural resources while supporting permitting continuity and supply chain resilience during commodity cycles. The report also stated, "Gold and copper are critical not only for technology and investments, but for soil health, food security, and forest management."

Barrick Investment Highlighted as Validation of Kingfisher's Financial Position

According to a July 21 report from Robert Sinn, Barrick Mining's CA$20.9 million strategic investment represented a significant financing event for Kingfisher Metals. Sinn wrote that "The Barrick cash infusion gives KFR sufficient capital runway through the end of 2027, and potentially beyond." He also stated that an additional "CA$7 million from in-the-money warrants further strengthens Kingfisher's financial position."

Sinn noted that Barrick was acquiring 15.47 million units at CA$1.35 per unit in a non-brokered private placement, with each unit including one common share and one-half warrant exercisable at CA$1.70 for two years. He reported that, upon closing, Barrick would own approximately 9.9% of Kingfisher on a non-diluted basis, increasing to 14.1% on a partially diluted basis if all warrants were exercised. He also wrote that at least 80% of the proceeds, or approximately CA$16.7 million, were required to be spent on the HWY 37 Project and that Kingfisher expected to have approximately CA$47 million in cash following the transaction.
